Terms and Conditions

These Terms of Service (“Terms”) govern access to and use of the websites, portals, mobile pages, content, communities, memberships, consulting services, educational materials, templates, digital products, dispute-support workflows, business-credit and personal-credit education, funding-preparation services, and related products and services offered by Credit GEMS®, with its principal office in Middletown, Delaware (“Credit Gems®,” “Company,” “we,” “our,” or “us”).

By accessing, browsing, purchasing, enrolling in, subscribing to, or using any Credit Gems® website, portal, service, course, product, membership, consultation, digital tool, or communication channel, you agree to be bound by these Terms, our Privacy Notice, and any additional agreement, order forms, program terms, disclosures, consent form, or service-specific addendum presented to you.

If you do not agree, do not use the Services.

2. Eligibility

You represent and warrant that:

a. you are at least 18 years old and legally competent to enter into contracts;

b. all information you provide is true, current, complete, and accurate;

c. you are authorized to provide any information or documents you submit;

d. you will use the Services only for lawful purposes; and

e. if acting for a business, trust, or entity, you have authority to bind that entity.

We may refuse service, suspend access, or terminate accounts for ineligibility, suspected fraud, abuse, nonpayment, legal risk, reputational risk, or violation of these Terms.

3. Important Federal and Consumer-Law Disclosures

To the extent any Service is deemed a “credit repair” service under applicable law, that service is subject to separate written disclosures, statutory notices, and cancellation rights. Where required by law, Credit Gems® will provide the applicable written notice regarding consumer credit file rights, written contract terms, and cancellation form. If there is any conflict between these Terms and a nonwaivable consumer-protection law, the law controls solely to the extent required.

Nothing in these Terms waives any nonwaivable right provided by applicable law.

4. No Legal, Tax, Accounting, Investment, or Lending Advice

All Services are provided for informational, educational, administrative, and general business-support purposes only. Credit Gems® does not provide legal advice, tax advice, accounting advice, securities advice, licensed financial-planning advice, or lending commitments.

You are solely responsible for obtaining advice from your own licensed attorney, CPA, tax professional, or other advisor before acting on any information, document, strategy, communication, template, or recommendation.

5. No Guarantee; Results May Vary

Credit GEMS® makes no guarantee, warranty, or promise regarding:

a. deletion of any tradeline, inquiry, public record, or account history;

b. removal of accurate, timely, or lawfully reported information;

c. any increase in any credit score;

d. any approval for personal credit, business credit, credit cards, lines of credit, vendor accounts, term loans, SBA products, or other financing;

e. any funding amount, interest rate, term, underwriting result, timing, or lender match;

f. business formation results, tax treatment, entity credibility, or revenue outcomes;

g. success of any dispute, reconsideration, goodwill request, debt validation request, bureau challenge, creditor communication, or direct dispute;

h. acceptance or processing by any third party, including consumer reporting agencies, furnishers, lenders, banks, processors, vendors, software tools, mail providers, filing agents, or government offices.

All results depend on factors outside our control, including the accuracy of your records, your existing file, your payment history, debt-to-income profile, business operations, lender criteria, market conditions, bureau procedures, legal standards, and your own follow-through.

6. Client Responsibilities

You agree that you are solely responsible for:

a. providing timely, truthful, and complete information;

b. reviewing your own reports, statements, applications, and disclosures;

c. monitoring all mail, email, text messages, bureau responses, lender responses, and deadlines;

d. maintaining current contact information;

e. paying your own debts and obligations as they come due;

f. avoiding fraud, identity manipulation, synthetic identity conduct, false police reports, false FTC reports, false business filings, sham addresses, fake payroll, fake revenue, false EIN or false licensing information, or any misleading submission;

g. promptly notifying us of bankruptcy filings, lawsuits, government inquiries, identity theft, fraud alerts, military status issues, or active disputes that could affect service; and

h. independently deciding whether to apply for any credit or financing.

You understand that inaccurate information submitted by you can delay or prevent results and may expose you to civil or criminal liability.

7. Authorization to Communicate and Work with Third Parties

By purchasing or enrolling, you authorize Credit Gems® to communicate, as applicable and as you direct, with consumer reporting agencies, furnishers, creditors, lenders, vendors, software providers, fulfillment vendors, mailing providers, payment processors, business-service providers, and other third parties necessary to perform Services.

You further authorize us to use service providers and subcontractors, including secure software tools, support teams, independent contractors, and platform providers, subject to our Privacy Notice and confidentiality practices.

We may require separate written authorizations, identity verification, e-signature consent, power-of-attorney limitations, bureau-specific forms, lender-specific forms, or platform-specific consents before certain work is performed.

8. Consumer Report and Financial Information Consent

Where you provide written instructions, account access, uploaded reports, or other express authorization, you consent to our receiving, reviewing, storing, organizing, and using consumer-report information, business-credit information, application information, financial documents, banking data, tax materials, identification records, and related information to provide the Services you requested.

You acknowledge that your consumer-report data may be used only for lawful purposes connected to your requested Services and your written authorization, and that some third parties may independently require additional permissible-purpose documentation or identity verification.

9. Service Categories

Credit GEMS® may offer one or more of the following, each of which may have separate terms, pricing, disclosures, and scope:

a. credit education and consulting;

b. credit-restoration administrative support;

c. credit-building education and implementation support;

d. personal-credit and business-credit profile review;

e. funding-readiness consulting;

f. lender and funding introductions;

g. memberships, communities, masterminds, and coaching;

h. digital products, templates, letters, scripts, and DIY products;

i. affiliate or referral programs;

j. live events, workshops, webinars, and retreats;

k. recurring subscriptions; and

l. premium concierge or white-glove services.

10. DIY Products, Templates, and Letters

Credit GEMS® may sell self-help materials, templates, educational letters, scripts, guides, or DIY kits. These are offered for general informational use only. They are not legal advice and are not represented to be suitable for every person, bureau, creditor, lender, or jurisdiction.

Your purchase of a DIY product grants a limited, non-exclusive, non-transferable, revocable license for your own internal personal or business use only. You may not copy, resell, sublicense, publish, distribute, modify for resale, claim authorship, or use our materials to operate a competing service, template library, agency, training course, or software tool without our prior written consent.

11. Memberships, Communities, and Subscription Programs

If you enroll in a recurring membership, your membership will continue until canceled in accordance with the plan terms. You authorize us to charge the payment method on file on a recurring basis for the plan you selected, plus applicable taxes and authorized charges.

Membership benefits may include educational materials, office hours, communities, support sessions, templates, discounts, portal access, or live training. Benefits are subject to change at any time at our discretion. We may add, remove, modify, suspend, or replace features, instructors, schedules, and content.

Cancellation requests take effect prospectively as stated in the applicable plan terms. Access through the current paid billing period may continue unless otherwise stated. No cancellation stops or reverses amounts already due, except where required by law or expressly stated in writing by Credit GEMS®.

12. Fees, Billing, Chargebacks, and Collections

All fees are stated in U.S. dollars unless otherwise specified. By purchasing, you authorize us and our payment processors to charge your selected payment method for all agreed amounts, including installments, subscription renewals, late fees where lawful, and taxes where applicable.

If your payment fails, we may retry the charge, suspend access, downgrade services, terminate service, or use a collections process. You agree to keep valid payment information on file.

You agree not to initiate a chargeback, payment dispute, or reversal without first giving Credit GEMS® written notice and a commercially reasonable opportunity to review the issue. A chargeback in bad faith, after receipt of Services or digital access, constitutes a material breach of these Terms. We may present your signed contracts, login records, delivery records, support history, message history, download logs, and related evidence to contest any payment dispute.

13. Refund Policy

All sales are final. No refunds, credits, or chargebacks are permitted except as required by nonwaivable law or as expressly approved by Credit Gems® in a written instrument signed by an authorized officer.

Without limiting the foregoing:

a. digital products, downloadable items, templates, and instant-access content are non-refundable;

b. coaching, consulting, strategy sessions, concierge work, and educational services are non-refundable once delivered, scheduled, or substantially prepared;

c. missed calls, missed sessions, missed deadlines, or client inactivity do not create refund rights;

d. dissatisfaction with underwriting decisions, bureau responses, creditor responses, or business outcomes does not create refund rights;

e. no-refund terms do not limit any nonwaivable cancellation right required by applicable law for a covered service.

14. Credit-Repair-Specific Payment Rule

For any service classified as credit repair under applicable law, Credit Gems® will not collect or retain payment in any manner prohibited by law before fully performing the specific service(s) promised under the applicable agreement. If a service includes both regulated and non-regulated components, Credit GEMS® may structure billing separately for legally distinct components, to the extent permitted by law.

15. Cancellation Rights for Covered Credit-Repair Contracts

If a particular service is covered by law granting a cancellation period, including a federal 3-business-day cancellation right for covered credit-repair contracts, Credit Gems® will honor that right in the manner required by law and as stated in the applicable contract and statutory notice. Any broader “no refund” term is automatically narrowed to the minimum extent necessary to comply with nonwaivable law.

16. Scheduling, Delivery, and Timelines

Any timeline stated by Credit Gems® is an estimate only. Credit bureaus, furnishers, lenders, vendors, banks, government offices, mail delivery, platform interruptions or outages, fraud reviews, underwriting queues, and client delays can affect timing.

We are not liable for delays caused by:

a. incomplete client files;

b. client nonresponsiveness;

c. postal or courier delay;

d. lender or bureau delay;

e. platform downtime;

f. fraud reviews, CIP/KYC checks, AML checks, or identity verification;

g. legal changes, regulator actions, or force majeure events.

17. Third-Party Services, Partners, and Lender Relationships

Credit Gems®  may refer, introduce, or connect you to third-party lenders, brokers, banks, underwriters, credit issuers, processors, legal-service providers, compliance vendors, software vendors, business-filing vendors, mail houses, affiliate partners, and other third parties.

Unless expressly stated in a separate signed writing:

a. Credit Gems®is not the agent, employee, fiduciary, or legal representative of any lender or third party;

b. no referral implies endorsement or guarantee;

c. all approvals, denials, rates, terms, and conditions are determined solely by the third party;

d. Credit Gems® is not responsible for the acts, omissions, security, policies, decisions, delays, denials, fraud reviews, or contractual terms of third parties;

e. Credit Gems® may receive referral fees, affiliate commissions, marketing fees, placement fees, or other lawful compensation from third parties, and you consent to such compensation where disclosed or otherwise permitted by law.

18. Confidentiality of Partner Network and Proprietary Relationships

Our lender lists, bank relationships, partner contacts, underwriting workflows, scripts, referral pathways, and private/public partner arrangements are proprietary, confidential trade information of Credit Gems® and/or the applicable third parties.

You may not disclose, screenshot, copy, export, repurpose, solicit, circumvent, or use those relationships outside the Services. You may not contact a partner for unrelated opportunities using information obtained from Credit Gems® without prior written consent.

If you are served by a third party in relation to a financing program involving a multi-member LLC or another entity structure, that service relationship remains subject to confidentiality, contract restrictions, and the third party’s own documentation.

19. Marketing, Testimonials, and Earnings/Outcome Claims

You agree not to rely on testimonials, case studies, screenshots, examples, or social proof as a promise of your likely result. Examples are illustrative only.

If you provide a testimonial, review, or endorsement, you represent that it is truthful, based on your actual experience, and not misleading. You grant Credit Gems® a perpetual, worldwide, royalty-free license to use, reproduce, display, adapt, and publish your testimonial, name, likeness, business name, logo, screenshots, and statements for lawful marketing, unless otherwise agreed in writing.

Credit Gems® may edit for length, clarity, grammar, formatting, and compliance so long as the substance is not materially misrepresented.

20. Intellectual Property

All rights in the Services, including text, branding, videos, course structures, templates, letters, workflows, logos, graphics, downloads, portal content, code, software configurations, worksheets, forms, systems, and know-how are owned by Credit Gems® or its licensors and are protected by trademark, copyright, trade secret, and other laws.

No right, title, or interest is transferred to you except the limited use rights expressly granted in writing.

You may not:

a. copy or scrape content;

b. reverse engineer portal functionality;

c. train AI systems on our content;

d. republish or resell our materials;

e. create derivative commercial works;

f. use our marks without permission;

g. remove proprietary notices.

21. User Accounts and Security

If you receive account credentials, you are responsible for maintaining their confidentiality and for all use under your account. You must notify us immediately of any suspected unauthorized access, impersonation, or account compromise.

We may suspend or terminate access to protect the platform, our team, or other clients.

22. Communications Consent; Email, Calls, and Text Messages

By providing contact information, you consent to receive transactional, service, scheduling, support, account, and legally required communications by email, phone call, and text message using the information you provide.

Where required by law for marketing or autodialed/prerecorded communications, Credit Gems® will seek the required level of consent.

Consent to receive marketing texts or calls is not a condition of purchasing any goods or services where prohibited by law. You may revoke consent for marketing messages using the method provided in the message or by contacting us, but revocation does not apply retroactively and does not prevent transactional or legally required communications.

23. Electronic Records and Signatures

You consent to transact electronically. Electronic signatures, checkbox acknowledgments, typed names, click-acceptance, portal confirmations, email assent, and other legally recognized electronic methods may be used to form contracts and provide required records, subject to applicable law.

You agree that electronic records satisfy any legal requirement that a writing be provided, except where law requires a different form.

24. Privacy and Data Protection

Your use of the Services is also governed by the Credit Gems® Privacy Notice, incorporated here by reference. By using the Services, you acknowledge that we may collect, use, process, store, disclose, and protect personal information and business information as described in that Privacy Notice.

25. Security Practices; No Absolute Security

Credit GEMS® uses commercially reasonable administrative, technical, and physical safeguards designed to protect information under our control. However, no transmission, storage environment, platform, mailbox, portal, or vendor system is completely secure.

To the fullest extent permitted by law, Credit Gems® disclaims liability for unauthorized access, data interception, or breach caused by third-party attacks, customer-side compromise, password reuse, phishing, social engineering, device compromise, insecure networks, mail theft, or third-party vendor failures, except to the extent caused by our gross negligence, willful misconduct, or other liability that cannot lawfully be disclaimed.

26. Record Retention

We may retain records, communications, applications, consents, contracts, uploads, payment history, service notes, and support history for legal, operational, compliance, dispute-resolution, backup, and fraud-prevention purposes for as long as reasonably necessary or required by law.

27. Compliance Monitoring and Audit Rights

To protect the Company, clients, and partner network, Credit Gems® may monitor transactions, portal activity, uploads, communications, billing activity, suspicious patterns, identity inconsistencies, funding misuse, or abuse of Services. We may request additional documents, pause service, or terminate service if we suspect fraud, policy abuse, regulatory risk, unauthorized reselling, synthetic identity conduct, or unlawful purpose.

28. Prohibited Conduct

You may not:

a. use the Services unlawfully or fraudulently;

b. impersonate another person or entity;

c. submit false information;

d. interfere with the Services or security features;

e. send malware, bots, scripts, or harmful code;

f. abuse support staff or other members;

g. harvest data from our platform or community;

h. resell or white-label our Services without authorization;

i. use our systems to evade underwriting rules or mislead creditors, lenders, or bureaus;

j. engage in credit washing, identity manipulation, false disputes, or false statements.

29. Investigations and Cooperation

We may cooperate with law enforcement, regulators, payment processors, credit bureaus, lenders, courts, and legal processes where required or reasonably necessary to protect legal rights, investigate misconduct, prevent fraud, respond to claims, or comply with legal obligations.

30. Suspension and Termination

We may suspend, limit, or terminate your access or Services at any time, with or without notice, for nonpayment, legal risk, suspected fraud, abusive conduct, policy violations, reputational risk, platform misuse, false statements, or any act that may expose Credit GEMS® or others to harm.

Termination does not eliminate obligations accrued before termination, including payment obligations, confidentiality, intellectual-property protections, dispute-resolution provisions, and limitations of liability.

31. Disclaimers

To the fullest extend permitted by law, the services are provided “ as is,” “as available,” and without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, or results.

credit Gems® does not warrant that the services will be uninterrupted, error- free,secure, or suitable for your particular situation.

32. Limitation of Liability

to the fullest extent permitted by law, credit Gems®, its owners, officers, directors, managers, employees, contractors, licensors, affiliates, successors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any lost profits, lost revenue, lost opportunity, lost business value, loss of data, loss of goodwill, business interruption, denial of credit, denial of funding, increased interest costs, or reputational harm, even if advised of the possibility.

to the fullest extent permitted by law, the aggregate liability of credit gems® arising out of or relating to the services shall not exceed the greater of:

a. the amount actually paid by you to credit gems® for the specific service giving rise to the claim during the three (3) months immediately preceding the event, or
b. one hundred u.s. dollars ($100). the foregoing limitations apply to contract, tort, negligence, strict liability, statute, equity, or any other theory, except to the extent prohibited by law.

33. Indemnification

You agree to defend, indemnify, and hold harmless Credit Gems®, its owners, affiliates, officers, directors, managers, employees, contractors, licensors, service providers, and agents from and against any and all claims, demands, suits, investigations, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

a. your breach of these Terms;

b. your violation of law;

c. your false statements or omissions;

d. your misuse of Services;

e. your infringement of any rights of another;

f. your disputes with third parties, lenders, bureaus, furnishers, vendors, or business partners;

g. information or documents you provided;

h. your use of templates, letters, scripts, or DIY materials.

34. Mandatory Pre-Dispute Notice

Before filing any claim, you must send Credit Gems® a detailed written notice of dispute at the Notice Address below and allow at least thirty (30) days for review and an opportunity to resolve the matter informally. Your notice must include your full name, contact information, account email, a copy of the relevant contract or receipt, a detailed description of the dispute, all supporting documents, and the relief requested.

Failure to comply with this section is a material breach and grounds for dismissal or stay to the fullest extent permitted by law.

35. Binding Arbitration; Class Action Waiver

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any purchase, any communication, any marketing statement, payment, privacy matter, or relationship between you and Credit Gems®® shall be resolved by final and binding individual arbitration administered by [JAMS / AAA] under its applicable consumer or commercial rules, as applicable.

Arbitration shall be conducted on an individual basis only. You and Credit Gems® waive any right to litigate in court before a judge or jury, except for claims in small-claims court that qualify and remain individual. You and Credit GEMS® further waive any right to participate in a class action, collective action, private attorney general action, representative action, or consolidated proceeding.

The arbitrator shall have exclusive authority to resolve disputes regarding interpretation, enforceability, and formation of this arbitration clause, except that a court of competent jurisdiction may decide issues specifically reserved by law.

If any part of this section is found unenforceable as to a particular claim or remedy, that claim or remedy shall proceed in court only to the minimum extent necessary, and all remaining claims shall proceed in arbitration if lawful.

36. Injunctive Relief

Notwithstanding the arbitration clause, Credit Gems® may seek temporary, preliminary, or permanent injunctive relief in any court of competent jurisdiction to protect confidential information, trade secrets, intellectual property, platform security, or partner relationships.

37. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law principles. Subject to the arbitration section above, any action permitted to proceed in court shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

38. Force Majeure

Credit Gems® is not liable for any delay or failure caused by events beyond reasonable control, including acts of God, natural disasters, severe weather, cyberattacks, internet outages, power failures, labor disputes, epidemics, war, civil unrest, government action, postal disruption, platform failure, or third-party service interruption.

39. Assignment

You agree that you are solely responsible for:

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions remain in full force, and the challenged provision shall be modified only to the minimum extent necessary to make it enforceable where lawful.

41. No Waiver

Failure to enforce any provision is not a waiver of future enforcement.

42. Entire Agreement

These Terms, together with the Privacy Notice, order forms, program terms, disclosures, consent forms, cancellation notices, and service-specific agreements, form the complete agreement between you and Credit GEMS® regarding the Services and supersede prior oral or written discussions, except for any later written agreement signed by an authorized representative of Credit GEMS®.

43. Know Your Rights

Under the Fair Credit Reporting Act (FCRA), users are entitled to several important rights designed to protect their financial information and ensure accuracy in their credit reports. These rights include the ability to access and review their credit report, dispute any inaccurate or incomplete information, and have errors corrected or removed in a timely manner.

Users also have the right to place fraud alerts or request a credit freeze to protect against identity theft. Additionally, the FCRA ensures the right to privacy and data protection, as well as the right to know who has accessed or inquired into their credit file.
